-
-
- for any unlawful or fraudulent purpose;
- to transmit viruses, malware or other harmful code;

-
- Trigiene may suspend, restrict or withdraw access to all or part of a website or online service where reasonably necessary for maintenance, security, technical, legal or operational reasons.
- FORMATION OF CONTRACT
-
- Any quotation issued by Trigiene is an invitation to the Customer to place an order and does not constitute an offer capable of acceptance.
-
- An order placed by the Customer constitutes an offer by the Customer to purchase the relevant goods and/or services subject to these Terms.
-
- Trigiene may accept or decline an order at its discretion. A binding Contract is formed only when Trigiene:
-
-
- issues an Order Confirmation;
- otherwise confirms acceptance of the order in writing; or
- begins supplying the relevant goods or services,
-
whichever occurs first.
-
- Trigiene may cancel or withdraw an order at any time before a Contract is formed.
-
- Any terms or conditions contained in or referred to in a Customer purchase order, acknowledgement, specification or other document shall not form part of the Contract unless expressly agreed in writing by an authorised representative of Trigiene.
-
- Where Trigiene has notified the Customer that an order is subject to the Capital Equipment Terms, those terms shall form part of the Contract.
-
- If there is any inconsistency between the documents forming the Contract, the following order of precedence shall apply:
-
-
- any specific written agreement signed by Trigiene and the Customer;
- the Order Confirmation;
- where applicable, the Capital Equipment Terms;
- these Terms; and
- the quotation,
-
unless expressly stated otherwise.
- PRODUCT INFORMATION AND WEBSITE IMAGES
-
- Images of products displayed on a Trigiene website are for illustrative purposes only. Products supplied may differ in appearance from images displayed online.
-
- Where an image shows multiple products, accessories or components, only those items identified in the relevant product description, quotation or Order Confirmation are included in the Contract.
-
- Product descriptions and specifications are based on information made available to Trigiene by the relevant manufacturer or supplier.
-
- Manufacturers may change product specifications, design, appearance, packaging or features from time to time.
-
- Trigiene shall not be liable for immaterial differences between a product supplied and any image, description or specification provided to the Customer, provided that such difference does not materially affect the functionality or intended use of the product.
- PRICES AND QUOTATIONS
-
- Unless otherwise stated in writing, all prices quoted by Trigiene are exclusive of VAT, which shall be charged at the prevailing rate.
-
- A quotation is valid for the period stated in it or, if no period is stated, for 14 days from the date of issue.
-
- Trigiene may withdraw or amend a quotation at any time before a Contract is formed.
-
- Trigiene reserves the right to correct any typographical, clerical, pricing or specification error in a quotation, website listing, Order Confirmation or other document. Where a material error is identified after a Contract has been formed, Trigiene may notify the Customer of the error and, where reasonably necessary, offer to supply the relevant goods or services on the corrected terms or cancel the affected Contract and refund any amount already paid in respect of the affected goods or services.
-
- Special-order, non-stock, bespoke or manufacturer-specific goods may be subject to different pricing, lead times, cancellation terms and restocking charges, as notified to the Customer.
- PAYMENT TERMS
-
- The Customer shall pay all sums due to Trigiene in accordance with the payment terms set out in the relevant quotation, Order Confirmation or invoice.
-
- Where Trigiene has approved a credit account for the Customer, payment shall be made within the applicable credit period. Unless otherwise agreed in writing, Trigiene’s standard credit period is 30 days from the date of invoice.
-
- Where the Customer does not have an approved credit account, Trigiene may require payment in advance, on a pro forma basis or by such other method as Trigiene may agree.
-
- All sums payable by the Customer shall be paid in full without set-off, counterclaim, deduction or withholding, except where required by law.
-
- If the Customer fails to pay any sum when due, Trigiene may:
-
-
- charge interest and recover costs in accordance with any rights available to it under applicable law;
- suspend further deliveries, repairs, services or other performance; and/or
- reduce, suspend or withdraw any credit facility or credit limit made available to the Customer.
-
-
- Unless otherwise agreed in writing, digital dental equipment must be paid for in full, or an agreed finance or payment arrangement must be formally approved and confirmed, before delivery.
-
- Where an order is also subject to the Capital Equipment Terms, any additional payment requirements set out in those terms shall apply.
- FINANCE
-
- Where finance is available in connection with a purchase, Trigiene may introduce the Customer to a third-party finance provider or broker.
-
- Unless expressly stated otherwise, Trigiene is not the lender and any finance arrangement is separate from the Contract between Trigiene and the Customer.
-
- Finance is subject to the relevant provider’s eligibility criteria, approval and terms, and Trigiene does not guarantee that finance will be available or approved.
-
- Where a Contract has been formed and proposed finance is not approved or completed, the Customer shall remain responsible for paying for the relevant goods or services by such alternative payment method as Trigiene may reasonably require.
- Where a Contract has been formed and proposed finance is not approved or completed, the Customer shall remain responsible for paying for the relevant goods or services by such alternative payment method as Trigiene may reasonably require.
- DELIVERY
-
- Any delivery date or timescale given by Trigiene is an estimate only unless expressly agreed otherwise in writing. Time for delivery shall not be of the essence.
-
- Trigiene shall not be liable for delay or failure to deliver caused by circumstances outside its reasonable control.
-
- If any product is unavailable, Trigiene may offer the Customer a suitable alternative. The Customer shall not be required to accept an alternative product.
-
- Where the Customer does not accept an alternative product, Trigiene may make a partial delivery and deliver the remaining goods when available. Unless otherwise agreed, no additional delivery charge will be made solely because Trigiene has made a split delivery due to stock availability.
-
- Any applicable delivery charges will be notified to the Customer in the quotation, Order Confirmation, website or applicable price list.
-
- The Customer shall inspect the goods as soon as reasonably practicable following delivery.
-
- The Customer must notify Trigiene of any apparent damage, shortage or discrepancy as soon as reasonably practicable and, where possible, within three Business Days of delivery. Non-delivery must be notified as soon as reasonably practicable and, where possible, within seven days of the expected delivery date.
-
- The notification periods in clause 13.7 are intended to enable Trigiene to investigate delivery issues promptly and do not affect any rights or remedies which cannot lawfully be excluded or restricted.
-
- If the Customer fails to take delivery of goods when delivery is attempted or otherwise prevents or delays delivery, Trigiene may store the goods until delivery takes place and recover from the Customer any reasonable storage, redelivery and associated costs incurred.
- RISK AND TITLE
-
- Risk in the goods shall pass to the Customer on delivery or deemed delivery.
-
- Title to the goods shall not pass to the Customer until Trigiene has received payment in full in cleared funds for:
-
-
- those goods; and
- all other sums which are due and payable by the Customer to Trigiene.
-
-
- Until title passes, the Customer shall:
-
-
- hold the goods on behalf of Trigiene;
- store the goods separately from other goods where reasonably practicable and ensure that they remain readily identifiable as Trigiene’s property;
- keep the goods properly stored, protected and insured for their full replacement value;
- not remove, deface or obscure any identifying mark or packaging relating to the goods; and
- not create or permit any charge, lien or other security interest over the goods.
-
-
- Unless Trigiene has notified the Customer otherwise in writing, the Customer may resell goods in the ordinary course of its business before title has passed. Where the Customer resells goods before title has passed, it shall do so as principal and not as Trigiene’s agent, and title to those goods shall pass to the Customer immediately before the resale takes place.
-
- The Customer’s right to resell goods under clause 14.4 shall cease immediately if any sum due to Trigiene remains unpaid after its due date or Trigiene becomes entitled to terminate the Contract.
-
- If any sum due to Trigiene remains unpaid after its due date, or if Trigiene becomes entitled to terminate the Contract, Trigiene may require the Customer to return any goods to which Trigiene retains title.
-
- If the Customer fails to return such goods promptly following a lawful request, Trigiene may, to the extent permitted by law, enter any premises of the Customer where the goods are reasonably believed to be located in order to recover them.
- DIGITAL DENTAL EQUIPMENT
-
- “Digital Dental Equipment” includes, without limitation, intraoral scanners, computers, printers (including 3D printers), milling equipment, digital dental hardware, associated accessories and related equipment.
-
- Unless otherwise agreed in writing, Digital Dental Equipment must be paid for in full, or an agreed finance or payment arrangement must be formally approved and confirmed, before delivery.
-
- Digital Dental Equipment is non-returnable once delivered, except where:
-
-
- the equipment is faulty and the Customer has a valid claim under the applicable warranty or other applicable legal rights; or
- Trigiene has expressly agreed in writing to accept a return.
-
-
- Where Trigiene agrees to accept a return, the Customer must return the equipment in its original packaging together with all accessories, manuals, cables and other items supplied with it, unless Trigiene agrees otherwise.
-
- Where a return is accepted for reasons other than a fault covered by warranty or applicable legal rights, Trigiene may charge a reasonable restocking fee and recover any reasonable manufacturer, handling, collection or other costs incurred in connection with the return.
-
- The Customer is responsible for satisfying itself that the equipment is suitable for its intended use unless Trigiene has expressly agreed in writing to assess suitability.
-
- Installation, configuration, training and support are included only where expressly stated in the relevant quotation or Order Confirmation.
- SOFTWARE AND DIGITAL SERVICES
-
- Digital Dental Equipment and other products supplied by Trigiene may require third-party software, licences, subscriptions, updates, internet connectivity or other services.
-
- Such software, licences and services may be subject to separate terms imposed by the relevant manufacturer or third-party provider, and the Customer is responsible for complying with those terms.
-
- Trigiene shall not be responsible for any change, suspension or withdrawal of third-party software, licences, subscriptions, support arrangements or services which is outside Trigiene’s reasonable control.
-
- Where Trigiene supplies or facilitates a software subscription or licence, the applicable subscription or licence terms shall also apply.
- GENERAL DENTAL CONSUMABLES
-
- Dental consumables are supplied in accordance with the relevant product description and manufacturer’s specification.
-
- Consumables which have been opened, used, damaged, contaminated or are otherwise no longer suitable for resale are non-returnable unless faulty or otherwise agreed by Trigiene.
-
- Special-order, non-stock, bespoke, temperature-sensitive or short-dated consumables may be non-returnable.
-
- Any agreed return of consumables is subject to clause 18.
- RETURNS AND CANCELLATION
-
- Goods may not be returned without Trigiene’s prior written agreement.
-
- Where Trigiene agrees to a return, the Customer must comply with Trigiene’s return procedure and any return authorisation or collection requirements notified to it.
-
- Except where goods are returned because they are faulty or where otherwise agreed by Trigiene, returned goods must be unused, in saleable condition and in their original packaging.
-
- An order may not be cancelled once a Contract has been formed without Trigiene’s prior written agreement.
-
- Where Trigiene agrees to cancellation or return, it may recover any reasonable costs incurred as a result, including manufacturer cancellation charges, restocking charges, handling costs, collection costs and return freight.
-
- Special-order, non-stock, bespoke or manufacturer-specific goods may not be cancellable or returnable and may be subject to additional manufacturer charges.
-
- Trigiene may refuse a return, refund or credit in respect of any dental handpiece where the packaging or hygiene seal has been broken, or where the handpiece has been opened, used, handled in a clinical environment or otherwise exposed to a risk of contamination.
-
- Trigiene may treat any such handpiece as non-returnable where accepting the return would create a reasonable health, safety, infection-control or hygiene risk, or would make the handpiece unsuitable for resale as new.
-
- Nothing in this clause excludes or restricts any rights or remedies which cannot lawfully be excluded or restricted.
- HANDPIECE REPAIRS AND SERVICING
-
- Trigiene provides repair and servicing services for dental handpieces and associated small dental equipment.
-
- Where appropriate, Trigiene will issue a repair quotation following inspection and assessment of the relevant equipment. Repair work will not normally commence until the Customer has approved the quotation, unless otherwise agreed.
-
- Unless otherwise stated, any warranty given by Trigiene in respect of a repair applies only to parts supplied and fitted as part of that repair and does not extend to unrelated components or pre-existing faults.
-
- Trigiene may exclude or void a repair warranty where failure has been caused or contributed to by:
-
-
- poor or inadequate maintenance;
- incorrect use;
- inadequate lubrication;
- inappropriate cleaning or sterilisation;
- accidental damage;
- unauthorised repair or modification; or
- other improper treatment.
-
-
- Trigiene may require the relevant handpiece or equipment to be returned for inspection before determining whether a warranty claim is valid.
-
- Trigiene may use suitable aftermarket repair parts where appropriate. If the Customer requires OEM or manufacturer-original parts, this must be requested before the repair is carried out.
-
- OEM parts may be subject to additional cost and availability constraints.
-
- Unless otherwise agreed, Trigiene may determine the appropriate repair method and replacement parts having regard to the condition of the equipment and nature of the repair.
- HANDPIECE COLLECTION, DELIVERY AND TRANSIT
-
- Trigiene may offer a collection and return delivery service for handpiece repairs and servicing, subject to availability and any applicable service conditions.
-
- Unless otherwise stated, the standard collection and return service is subject to transit cover of up to £250 per package. Trigiene’s liability for loss of or damage to goods in transit shall, to the extent permitted by law, not exceed the amount recoverable under that transit cover. Additional cover may be available on request at additional cost.
-
- The Customer is responsible for ensuring that handpieces and other equipment are securely and appropriately packaged for transit.
-
- Trigiene shall not be responsible for loss or damage in transit where the relevant collection has not been arranged through Trigiene or otherwise expressly agreed by Trigiene.
-
- Where Trigiene arranges collection through a third-party carrier, the Customer is responsible for ensuring that the correct package is handed to the correct carrier.
-
- Trigiene shall not be responsible for loss, delay, damage or misdelivery arising from the Customer or its employees, agents or representatives handing a package to the wrong carrier or providing an incorrect package for collection.
-
- Where the Customer has multiple packages or carrier collections awaiting collection, the Customer must ensure that each package is correctly identified and handed to the appropriate carrier.
-
- Nothing in this clause excludes or limits liability which cannot lawfully be excluded or limited.
- DECLINED HANDPIECE REPAIRS
-
- If the Customer declines a repair quotation, the Customer may request that the relevant handpiece is returned.
-
- Trigiene may charge a reasonable return or administration fee where a repair quotation is declined.
-
- At the Customer’s request, Trigiene may instead recycle or donate the handpiece to charity.
- UNCLAIMED HANDPIECES
-
- Trigiene will use reasonable efforts to contact the Customer where a handpiece is awaiting instructions, approval or collection.
-
- Where Trigiene has issued a quotation or otherwise requested instructions and the Customer fails to respond, Trigiene may, after 90 days from the date of its most recent request for instructions, dispose of, recycle or otherwise deal with the handpiece.
-
- The Customer is responsible for ensuring that Trigiene holds accurate and up-to-date contact details.
-
- If the Customer wishes Trigiene to retain a handpiece for more than 90 days, the Customer must obtain Trigiene’s written agreement.
-
- Trigiene may recover any reasonable storage, administration, disposal or return costs incurred as a result of a Customer failing to provide instructions or collect a handpiece.
- DENTITRAK HANDPIECE MANAGEMENT PORTAL
-
- Trigiene may make its DentiTrak Handpiece Management Portal (the “Portal”) available to Customers in connection with its repair and servicing activities.
-
- The Portal may include functionality relating to repair bookings, collections, quotations, repair status, repair history and asset-management information.
-
- Trigiene may modify, suspend or withdraw any part of the Portal where reasonably necessary for technical, security, maintenance, legal or commercial reasons.
-
- Trigiene will use reasonable efforts to maintain the availability and security of the Portal but does not guarantee uninterrupted or error-free access.
-
- Trigiene may charge for access to or use of the Portal where the Customer is not using paid products or services supplied by Trigiene, provided that any applicable charge is notified to the Customer before it becomes payable.
- WARRANTIES
-
- Goods supplied by Trigiene may be subject to a manufacturer’s warranty and/or a warranty provided by Trigiene, as notified to the Customer at the point of sale.
-
- Where a manufacturer’s warranty applies, that warranty shall be subject to the manufacturer’s applicable terms and conditions and, unless Trigiene expressly provides a separate warranty in writing, Trigiene does not provide any additional contractual warranty in respect of those goods.
-
- Unless otherwise stated, warranties do not cover damage or failure caused by misuse, accidental damage, unauthorised modification or repair, poor or inadequate maintenance, incorrect installation, inappropriate cleaning or sterilisation, normal wear and tear or other circumstances outside the scope of the applicable warranty.
-
- Trigiene may require goods to be returned for inspection before accepting or determining a warranty claim.
-
- Warranties relating specifically to handpiece repairs are dealt with in clause 19.
-
- Nothing in this clause excludes or restricts any rights or liabilities which cannot lawfully be excluded or restricted.
- PRODUCT SUITABILITY AND REPRESENTATIONS
-
- Product information supplied by Trigiene is based on information made available by manufacturers or suppliers and on information provided by the Customer.
-
- The Customer is responsible for satisfying itself that goods or services are suitable for its intended purpose unless Trigiene has expressly agreed in writing to assess suitability.
-
- The Customer must ensure that any information it provides to Trigiene concerning its requirements, intended use or operating environment is accurate and complete.
-
- No oral statement, representation or assurance made by an employee or representative of Trigiene shall form part of the Contract unless expressly confirmed in writing by an authorised representative of Trigiene.
-
- Nothing in this clause excludes liability for fraud or fraudulent misrepresentation or any other liability which cannot lawfully be excluded.
- LIABILITY
-
- Nothing in these Terms excludes or limits either party’s liability for:
-
-
- death or personal injury caused by its negligence;
- fraud or fraudulent misrepresentation; or
- any other liability which cannot lawfully be excluded or limited.
-
-
- Subject to clause 26.1, Trigiene shall not be liable to the Customer for any:
-
-
- loss of profit;
- loss of revenue;
- loss of business or business opportunity;
- loss of anticipated savings;
- loss of goodwill; or
- indirect or consequential loss,
-
whether arising in contract, tort (including negligence), breach of statutory duty or otherwise.
-
- Subject to clause 26.1, Trigiene’s total aggregate liability arising out of or in connection with a Contract shall not exceed the price paid or payable for the particular goods or services giving rise to the claim.
-
- Trigiene shall not be liable to the extent that any loss or damage arises from:
-
-
- the Customer’s failure to follow Trigiene’s or the manufacturer’s instructions;
- misuse, unauthorised modification or improper maintenance of goods;
- inaccurate or incomplete information supplied by the Customer; or
- any act or omission of the Customer or a third party outside Trigiene’s reasonable control.
-
- EVENTS OUTSIDE OUR CONTROL
-
- Trigiene shall not be liable for any delay or failure to perform its obligations under a Contract to the extent caused by an event or circumstance beyond its reasonable control.
-
- Such events may include supplier or manufacturer delays, product shortages, carrier disruption, industrial disputes, interruption to utilities or telecommunications, fire, flood, severe weather, government action, epidemic or pandemic, cyber incidents and failures of third-party software or systems.
-
- Where an event outside Trigiene’s reasonable control results in limited availability of goods, Trigiene may allocate available stock between its customers as it reasonably considers appropriate.
-
- Trigiene shall be entitled to a reasonable extension of time for performance where its performance is delayed by such an event.
-
- If an event or circumstance referred to in this clause continues for more than 60 days and materially prevents Trigiene from performing its obligations under a Contract, Trigiene may terminate the affected Contract, or the affected part of it, by giving written notice to the Customer.
- INTELLECTUAL PROPERTY
-
- All intellectual property rights in Trigiene’s websites, branding, materials, content and software are owned by or licensed to Trigiene.
-
- Except as expressly permitted under these Terms or by law, no Customer or website user may copy, reproduce, distribute, modify or commercially exploit any such material without the prior written consent of Trigiene or the relevant rights holder.
- DATA PROTECTION
-
- Trigiene will process personal data in accordance with applicable data protection legislation and its Privacy Policy on its website.
-
- The Customer shall ensure that any personal data it provides to Trigiene has been collected and disclosed lawfully.
- SUSPENSION AND TERMINATION
-
- Trigiene may suspend the supply of goods or services, withhold delivery or suspend access to any online service where:
-
-
- the Customer fails to pay any amount when due;
- the Customer is in breach of these Terms or any Contract;
- Trigiene reasonably believes that the Customer’s ability to pay has materially deteriorated; or
- continued supply would expose Trigiene to a material legal, regulatory, security or commercial risk.
-
-
- Subject to any restrictions imposed by applicable insolvency law, Trigiene may terminate a Contract immediately by written notice if the Customer:
-
-
- commits a material breach of the Contract which is incapable of remedy;
- commits a material breach which is capable of remedy but fails to remedy it within 14 days after being required in writing to do so;
- fails to pay any amount due and such amount remains unpaid for 14 days after written notice requiring payment; or
- becomes insolvent, enters administration or liquidation, has a receiver appointed, ceases or threatens to cease business, or is subject to any analogous event.
-
-
- Termination or expiry of a Contract shall not affect any rights or liabilities which have accrued before termination.
-
- On termination, all sums properly due to Trigiene under the relevant Contract shall become immediately due and payable.
-
- Where a Contract is terminated as a result of the Customer’s breach, the Customer shall remain liable for any reasonable costs and expenses incurred or irrevocably committed to by Trigiene in connection with that Contract, including any non-refundable manufacturer or supplier charges.
-
- Any provision which is intended by its nature to continue after termination shall remain in effect.
- ASSIGNMENT AND SUBCONTRACTING
-
- The Customer may not assign, transfer, charge, subcontract or otherwise deal with any of its rights or obligations under a Contract without Trigiene’s prior written consent.
-
- Trigiene may assign, transfer, charge, subcontract or otherwise deal with any or all of its rights or obligations under a Contract.
- NOTICES
-
- Any notice given under or in connection with a Contract shall be in writing and delivered by hand, sent by pre-paid first-class post or sent by email to the address or email address most recently notified by the receiving party.
-
- A notice shall be deemed received:
-
-
- if delivered by hand, when left at the relevant address;
- if sent by first-class post, at 9.00 am on the second Business Day after posting; and
- if sent by email, at the time of transmission, provided that no delivery failure notification is received.
-
-
- This clause does not apply to the service of legal proceedings or other documents in legal proceedings.
- NO PARTNERSHIP OR AGENCY
Nothing in a Contract is intended to create a partnership, joint venture or agency relationship between Trigiene and the Customer, and neither party has authority to bind the other unless expressly agreed in writing.
- THIRD PARTY RIGHTS
Unless expressly stated otherwise, a person who is not a party to a Contract shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of that Contract.
- WAIVER
A failure or delay by either party to exercise any right or remedy shall not constitute a waiver of that right or remedy, and a waiver of any particular breach shall not constitute a waiver of any subsequent breach.
- SEVERABILITY
If any provision of a Contract is found to be invalid, unlawful or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the relevant provision shall be deleted. The remaining provisions shall continue in full force and effect.
- ENTIRE AGREEMENT
-
- The Contract constitutes the entire agreement between Trigiene and the Customer in relation to its subject matter and supersedes any previous agreement, understanding or arrangement relating to that subject matter.
-
- Each party acknowledges that, in entering into the Contract, it has not relied on any statement, representation, assurance or warranty which is not expressly set out in the Contract.
-
- Nothing in this clause excludes or limits liability for fraud or fraudulent misrepresentation.
- DISPUTE RESOLUTION
-
- If a dispute arises out of or in connection with a Contract, the parties shall use reasonable efforts to resolve the dispute through good-faith discussions between appropriately senior representatives.
-
- If the dispute has not been resolved within 14 days after one party gives written notice of the dispute to the other, the parties may agree to attempt to resolve the dispute through mediation.
-
- Nothing in this clause prevents Trigiene from:
-
-
- commencing proceedings to recover any debt or other amount due;
- seeking urgent interim or injunctive relief; or
- commencing proceedings where reasonably necessary to protect or preserve its rights.
-
- GOVERNING LAW AND JURISDICTION
-
- Each Contract and any dispute or claim arising out of or in connection with it shall be governed by the laws of England and Wales.
-
- Subject to clause 38, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with a Contract.
